Mumbai, Sep 12 (UNI) Adani Enterprises today announced through a filing made to the stock exchange that it has acquired a 100 per cent stake in DP Jain TOT Toll Roads (DPJTOT) at an enterprise value of Rs 1,342 crore.
Adani Enterprises stated in its filing that the transaction is carried out through Adani Road Transport Ltd (ARTL), which is a subsidiary of the company.
ARTL, which oversees the road infrastructure part of the business, has 8 under construction projects at the end of the June quarter.
Adani Enterprises stated that it acquired the company from D P Jain & Co Infrastructure, adding that the transaction, which is subject to regulatory approvals, was executed on September 11, 2025.
Under the agreement, ARTL will purchase the entire shareholding of DPJTOT from D P Jain TOT Toll Roads Private Limited, D P Jain & Co Infrastructure Private Limited, and DPJ-DRA Tollways Private Limited.
D P Jain TOT Toll Roads was incorporated in May 2021 as a special purpose vehicle for tolling, operation, maintenance, and transfer of the Palanpur–Radhanpur-Samkhiyali section of NH-27 in Gujarat, and has a concession period of 20 years.
Before this transaction, ARTL did not hold any stake in DPJTOT. The acquisition is expected to strengthen ARTL’s presence in the toll road segment and aligns with its strategic expansion plans, the statement mentioned.
The move comes in the backdrop of rising activity in the infrastructure sector, including divestments, bonus issues, as well as rights issues by other infrastructure firms. The deal is likely to contribute to ARTL’s long-term growth trajectory and operational scale.
